1. Agreement to These Terms
These Terms and Conditions ("Terms") form a binding agreement between you (the "User", "you") and CALIBRATE ("we", "us", "our"), the operator of the performance-calibration portal accessible at calibrate.management and any successor URL (the "Service"). By creating an account, accessing, or using the Service you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
You must be at least 18 years of age and authorised to bind the legal entity (the "Organization") on whose behalf you are using the Service. Where you act as an Organization Administrator you represent that you have the authority to accept these Terms for the Organization.
2. The Service
CALIBRATE is a Software-as-a-Service product that helps managers and employees structure performance conversations. Core capabilities include:
- Uploading Position Description (PD) PDFs and using artificial intelligence ("AI") to extract role-specific tasks;
- Conducting blind, time-boxed self-assessments and manager assessments against those tasks and personal goals;
- Generating side-by-side rating comparisons (radar / bar / gap analysis) and AI-suggested conversation starters once both parties have submitted;
- Issuing single-use, signed magic-link URLs that allow employees to participate without creating an account;
- Sending transactional email and storing audit logs related to authentication, ratings, and approvals;
- Multi-tenant administration tools, including organization administration and platform-level subscription management.
3. Accounts, Eligibility & Verification
To create an Organization on the Service you must provide a valid name, work email address, password, mobile phone number in international (E.164) format, and the physical address of your Organization. You agree to keep this information accurate and up to date.
You must verify your email address within twelve (12) hours of registration. Accounts that are not verified within that window are deleted automatically and the email may be re-registered.
You are responsible for safeguarding your password, your phone, and any device on which you remain signed in. You must notify us promptly of any unauthorised access. We may bump your session token version, suspend your account, or revoke access at our reasonable discretion to protect the Service.
Each Organization may nominate one or more Organization Administrators ("Org Admins") who may approve, revoke, or remove other managers within the Organization, subject to plan limits. We rely on the Org Admin to authorise additional managers and we are not responsible for internal disputes about who should hold this role.
4. Acceptable Use
You agree not to:
- Upload Position Descriptions or any content you do not have the right to share, or that contains personal information of third parties beyond what is reasonably required for performance review;
- Use the Service to harass, bully, discriminate against, or unfairly disadvantage any employee;
- Attempt to access another tenant's data, defeat the per-organization isolation logic, or probe the Service for vulnerabilities without written permission;
- Reverse-engineer, scrape, or copy the Service or its underlying models;
- Submit malware, unlawful content, or content that infringes intellectual-property or privacy rights;
- Use the Service in a way that breaches applicable laws, including the Australian Privacy Act 1988 (Cth), the EU GDPR, the UK Data Protection Act 2018, or any equivalent law that applies to you.
We may suspend or terminate accounts that breach this clause without prior notice.
5. Employee Participation & Magic Links
Employees do not need to create an account. The Service issues a cryptographically random magic-link URL that the employee uses to load the calibration interface. The Org Admin or manager who initiates the calibration is responsible for distributing that link only to the intended employee, and for ensuring the employee has consented to the relevant performance-management process under their employment agreement and applicable local law.
6. AI-Generated Content
The Service uses third-party large-language-model APIs (currently Anthropic's Claude family) to extract tasks from PD PDFs and to generate conversation starters from rating gaps. AI output is provided for guidance only. It may be incorrect, incomplete, or biased, and must not be relied upon as a substitute for human judgement, legal advice, or formal HR decisions. You remain responsible for any decision you make on the basis of AI output.
You will not paste medical, financial, or other sensitive personal information into the Service that is not strictly necessary for performance evaluation.
7. Subscription, Trials, Billing & Cancellation
The Service is offered on a tiered subscription basis. Plan capacity (number of authorised managers and employee profiles) and pricing are visible on the Organization Admin dashboard and on the public pricing page at calibrate.management/pricing. New Organizations begin on a fourteen (14) day free trial of the entry-level plan. After the trial ends, the Organization must select a paid plan to continue using create-actions; read-only access may be retained at our discretion.
Auto-renewal. Paid subscriptions renew automatically every calendar month using the payment method you nominate at checkout. By initiating a paid subscription you authorise us, via Stripe, to charge the Organization the displayed plan fee in Australian Dollars (AUD), inclusive of any applicable taxes, on each renewal date and until you cancel. The renewal date is shown on the Organization Admin dashboard.
Payments. Payments are processed by Stripe Payments Australia Pty Ltd. We never receive or store your full card number. Your card details are held by Stripe and used solely to bill the Organization on each renewal cycle.
Failed payments. If a renewal payment fails (e.g. expired card, insufficient funds), Stripe will retry in line with its standard recovery cadence. While the subscription is in a past due state, the Service will disable create-actions for the Organization. Once a successful payment is captured, normal access resumes immediately.
Cancellation. An Organization Admin can cancel the auto-renewal at any time from the Org Admin dashboard ("Cancel subscription"). Cancellation takes effect at the end of the current billing period — your Organization keeps full access until that date and is not charged again. There is no proration or partial-period refund. You may also resume the auto-renewal at any time before the period ends ("Resume auto-renewal") to keep the same plan running uninterrupted.
Plan changes. Upgrading to a higher tier triggers a new Stripe Checkout flow and a new monthly cycle starting on the date of the successful charge. Downgrades take effect at the end of the current period; you can downgrade by cancelling and re-subscribing on the lower tier, or by contacting us.
Refunds. Subscription fees are non-refundable except where required by law. Statutory consumer-protection rights (including those under the Australian Consumer Law) are not excluded.
Price changes. We may adjust subscription pricing for new and renewing customers. We will give you at least thirty (30) days' notice by email before any price increase that affects your renewal cycle. If you do not agree to the new price you may cancel before the next renewal as described above.
8. Data, Privacy & Security
We process data in line with our Privacy section below and our published Privacy Policy where relevant.
You and your Organization remain the data controller for any personal data you submit to the Service (including employee names, emails, role data, and ratings). We act as a data processor and process such data only to provide and improve the Service.
We host data on cloud infrastructure with industry-standard security controls. We use cryptographically random tokens, password hashing (bcrypt), JWT-based session management with token-version invalidation, rate-limiting on sensitive endpoints, audit logs, and HTTPS in transit. No system is perfectly secure. You acknowledge that you use the Service at your own risk and that we cannot guarantee complete protection against unauthorised access.
If we become aware of a security incident affecting your data, we will notify you without undue delay.
9. Privacy
We collect and process the following categories of personal data:
- Account data (name, email, password hash, phone, organization address, session metadata);
- Authentication audit data (IP address, user-agent, action timestamps, password reset events);
- Content you upload (PD PDFs) and content you create (calibrations, ratings, goals, conversation notes);
- Payment-session metadata (Stripe checkout session ID, plan, amount, currency, status). We do not store full card numbers.
We retain audit logs for ninety (90) days. Other Organization data is retained for the life of your account plus a reasonable wind-down period. You may request export or deletion of your Organization's data by emailing the address listed in the Contact section.
We send transactional email through SendGrid. Subscription billing is processed by Stripe Payments Australia Pty Ltd, who store your nominated payment method on file solely to charge the Organization on each renewal cycle and to surface payment history to you. By using the Service you consent to the necessary transfer of your data to those processors for the limited purpose of providing the Service.
10. Intellectual Property
The Service, including its source code, user interface, branding, and AI prompt design, is owned by CALIBRATE and protected by copyright and other laws. You retain ownership of any content you upload (PDs, ratings, goals, notes). You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display, process, and (for AI features) submit such content to our AI processors solely as required to provide the Service.
11. Suspension & Termination
You may terminate your account at any time from the Org Admin dashboard or by contacting us. Termination of an Org Admin account will not automatically delete your Organization unless you also request Organization deletion.
We may suspend or terminate access immediately if you breach these Terms, fail to pay subscription fees after notice, or pose a security or legal risk to the Service or its users. On termination, we will delete or anonymise your data within a reasonable period, except where retention is required by law.
12. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all warranties, conditions, and representations, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms excludes statutory consumer guarantees that cannot be lawfully excluded.
To the maximum extent permitted by law, our aggregate liability to you arising out of or in connection with the Service in any twelve (12) month period is capped at the fees actually paid by your Organization to us in that period. We are not liable for indirect, special, incidental, consequential, or punitive damages, loss of profits, loss of goodwill, or loss of data, even if advised of the possibility.
13. Indemnity
You will indemnify and hold harmless CALIBRATE, its officers, employees, and contractors from any claim, loss, damage, or expense (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your unauthorised use of the Service, or (c) your violation of any law or third-party right in connection with your use of the Service.
14. Changes to the Service & Terms
We may modify the Service at any time, including adding, removing, or changing features. Material changes to these Terms will be notified by email to the Org Admin and posted at the link displayed during registration. Continued use of the Service after the effective date of an updated version constitutes acceptance of the new Terms.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of Victoria for the resolution of disputes, except where applicable consumer-protection law gives you the right to bring proceedings in another jurisdiction.
16. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms; we may assign them to a successor entity. These Terms constitute the entire agreement between you and us in relation to the Service and supersede all prior agreements on the same subject matter.
